By accessing cleveranalytics.io or engaging Clever Analytics for services, you agree to these Terms of Service. If you do not agree, please discontinue use immediately.

Clever Analytics provides strategic intelligence consulting, data architecture, AI implementation sprints, workshops, custom website development, and related advisory services. Specific deliverables, timelines, and fees are set out in individual Statements of Work or purchase confirmations.

U.S. Based Companies Only: Clever Analytics & Insights, Inc. currently provides services exclusively to companies and organizations headquartered in the United States of America. We are unable to accept international companies or organizations based outside the United States at this time.

Certification Requirement: By submitting any lead capture form, proposal request, diagnostic tool, workshop interest form, newsletter subscription, or chat inquiry through our website, you hereby certify and affirm that your organization is headquartered in the United States. All such forms include a required checkbox confirming U.S.-based status and acceptance of these Terms of Service.

International Visitors: If you are an international company or an organization headquartered outside the United States, we are unfortunately unable to provide support, products, or services to you at this time. We refer you to our full Terms of Service for details on our service eligibility. We appreciate your interest and hope to expand our geographic availability in the future.

Website Development Services: Custom website development projects start at $5,000 USD. Final pricing is determined through a formal scoping process and documented in a Statement of Work.

Self-serve products (e.g. the Strategic Audit) are charged at the point of purchase. Consulting engagements are invoiced per the agreed payment schedule in the applicable SOW. All fees are non-refundable unless otherwise stated in writing.

All methodologies, frameworks, and proprietary tools developed by Clever Analytics remain our intellectual property. Client-specific deliverables created under an engagement are licensed to the client upon full payment.

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives termination for a period of two years.

Clever Analytics hosts virtual and in-person events, including but not limited to office hours, hub meetups, workshops, webinars, and cohort sessions (collectively, "Community Events"). These events are intended for verified community members only.

Confidentiality Obligation: By attending any Community Event, you agree that all content shared during the event — including discussions, presentations, screen shares, documents, attendee questions, and business examples — is confidential and proprietary to the respective presenter or participant. You may not record, screenshot, reproduce, distribute, or externally share any event content without explicit written permission from the presenter and Clever Analytics.

Member Verification: Access to Community Events may require registration, verification, or membership confirmation. You agree to provide accurate information and not attempt to access events for which you are not eligible.

No Endorsement: Opinions, strategies, and business challenges shared by individual participants during Community Events represent their personal views and experiences only. Clever Analytics does not endorse, verify, or warrant the accuracy of participant-shared content.

Enforcement: We reserve the right to remove any participant who violates these confidentiality obligations, shares false registration information, or engages in disruptive or harmful behavior during Community Events.

To the maximum extent permitted by law, Clever Analytics' total liability for any claim arising from these terms shall not exceed the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Community Events Disclaimer: Clever Analytics is not responsible or liable for any unauthorized disclosure, leak, recording, distribution, or misuse of information shared during Community Events by any participant, attendee, or third party. While we require all attendees to agree to confidentiality obligations, we cannot control individual actions and expressly disclaim liability for breaches committed by event participants. Our sole obligation is to enforce these Terms against verified violators to the extent practicable.

We warrant that services will be performed with reasonable skill and care. We do not warrant that any specific business outcome will be achieved. All other warranties are disclaimed to the fullest extent permitted by law.

These terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through good-faith negotiation before proceeding to arbitration or litigation. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Utah for any disputes arising from these terms.

Certain Clever Analytics services and website features incorporate artificial intelligence, including AI-assisted chat, diagnostic tools, and AI implementation sprints delivered as part of consulting engagements. By using these features you acknowledge:

• AI-generated outputs are informational and do not constitute professional advice unless explicitly confirmed in a signed Statement of Work.
• You will not use AI features to submit unlawful, harmful, or misleading content.
• Clever Analytics may log interactions with AI features for quality assurance and safety monitoring purposes, in accordance with our Privacy Policy.
• AI models used in our services are provided by third-party infrastructure partners. We apply reasonable safeguards but cannot guarantee the accuracy or completeness of AI outputs.
• During consulting engagements involving AI implementation, client data used to configure or test AI systems remains the client's property and is handled per the confidentiality provisions in Section 5.

We may update these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated terms. The "Last updated" date at the top of this page indicates when these terms were last revised.

We shall not be liable for any failure or delay in performing our obligations under these terms or any Statement of Work due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, labor disputes, power outages, internet service provider failures, or technical failures of third-party systems.

By providing your email address through our website forms, you consent to receive commercial email communications from us regarding our services, updates, and marketing materials. You may opt out of receiving marketing emails at any time by:

• Clicking the "unsubscribe" link in any marketing email

• Submitting a data request via our Data Request form

We will honor opt-out requests within 10 business days. Note that we may still send you transactional or relationship emails (e.g., service updates, account notifications, responses to your inquiries) even if you opt out of marketing communications.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CONSOLIDATED, JOINT, CLASS, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
